						SHOP MANAGEMENT SOFTWARE AND YOU, a user of the Service/VIP 
						Application /SITE. BY USING THE SERVICE/APPS/SITE, YOU ACKNOWLEDGE 
						AND AGREE TO THESE TERMS OF SERVICE, AND VIP SHOP MANAGEMENT 
						INC PRIVACY POLICY, WHICH CAN BE FOUND AT https://www.vip-shop-management.com/privacy-policy.php, 
						AND WHICH ARE INCORPORATED HEREIN BY REFERENCE. If you choose 
						to not agree with any of these terms, you may not use the 
						VIP Application / website or Service.

						BACKUP / RESTORE DATABASE: YOU ARE FULLY RESPONSIBLE 
						TO BACKUP VIP APPLICATION'S DATABASE DAILY/ WEEKLY USING 
						A FLASH DRIVE. ANY DEFECTIVE FLASH DRIVE MIGHT DAMAGE THE 
						DATABASE FOR VIP APPLICATION WHICH WILL RESULT IN LOSING 
						YOUR SHOP DATA. BACKING UP / RESTORING VIP'S DATABASE SHALL 
						BE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY 
						LAW, VIP SHOP MANAGEMENT INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, 
						AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, 
						IN CONNECTION WITH THE SERVICE, APPS AND YOUR USE THEREOF. 
						VIP SHOP MANAGEMENT INC MAKES NO WARRANTIES OR REPRESENTATIONS 
						ABOUT VIP'S APPLICATION DATABASE AND ASSUMES NO LIABILITY 
						OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES 
						OF CONTENT
					
						3. VIP SHOP MANAGEMENT APPLICATION:
					
						These Terms of Service apply to all users of the VIP SHOP 
						MANAGEMENT INC APPS. Information provided by our users through 
						the VIP SHOP MANAGEMENT INC APPS/site may contain links 
						to third party websites that are not owned or controlled 
						by VIP SHOP MANAGEMENT INC. VIP SHOP MANAGEMENT APP has 
						no control over, and assumes no responsibility for, the 
						content, privacy policies, or practices of any third party 
						websites. In addition, VIP SHOP MANAGEMENT APP will not 
						and cannot censor or edit the content of any third-party 
						site. By using the Service, you expressly acknowledge and 
						agree that VIP SHOP MANAGEMENT APP shall not be responsible 
						for any damages, claims or other liability arising from 
						or related to your use of any third-party website.
					
						4. VIP SHOP MANAGEMENT INC ACCESS:
					
						A. Subject to your compliance with these Terms of Service, 
						VIP SHOP MANAGEMENT INC hereby grants you permission to 
						use the Service, provided that: (i) your use of the Service 
						as permitted is solely for your personal use, and you are 
						not permitted to resell or charge others for use of or access 
						to the Service, or in any other manner inconsistent with 
						these Terms of Service; (ii) you will not duplicate, transfer, 
						give access to, copy or distribute any part of the Service 
						in any medium without VIP SHOP MANAGEMENT INC prior written 
						authorization; (iii) you will not attempt to reverse engineer, 
						alter or modify any part of the Service; and (iv) you will 
						otherwise comply with the terms and conditions of these 
						Terms of Service and Privacy Policy.
					
						5.  INTELLECTUAL PROPERTY RIGHTS:
					
						The design of the VIP SHOP MANAGEMENT INC APPS along with 
						VIP SHOP MANAGEMENT INC created text, scripts, graphics, 
						interactive features , and the trademarks, service marks 
						and logos contained therein ("Marks"), are owned by or licensed 
						to VIP SHOP MANAGEMENT INC, subject to copyright and other 
						intellectual property rights under United States and foreign 
						laws and international conventions. The Service is provided 
						to you AS IS for your information and personal use only. 
						VIP SHOP MANAGEMENT INC reserves all rights not expressly 
						granted in and to the Service. You agree to not engage in 
						the use, copying, or distribution of any of the Service 
						other than expressly permitted herein, including any use, 
						copying, or distribution of Status Submissions of third 
						parties obtained through the Service for any commercial 
						purposes.
					
						6. LIMITATION OF LIABILITY:
					
						IN NO EVENT SHALL VIP SHOP MANAGEMENT INC, ITS OFFICERS, 
						DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY 
						DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL 
						DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, 
						OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY 
						DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS 
						TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS 
						TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL 
						INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, 
						(IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR 
						FROM OUR SERVERS, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, 
						OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR 
						SERVICE BY ANY THIRD PARTY, (V) ANY ERRORS OR OMISSIONS 
						IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED 
						AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, 
						TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE VIP SHOP 
						MANAGEMENT INC CLIENT, WHETHER BASED ON WARRANTY, CONTRACT, 
						TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE 
						COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND/OR 
						(VI) THE DISCLOSURE OF INFORMATION PURSUANT TO THESE TERMS 
						OF SERVICE OR PRIVACY POLICY. THE FOREGOING LIMITATION OF 
						LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY 
						LAW IN THE APPLICABLE JURISDICTION.
					
						YOU SPECIFICALLY ACKNOWLEDGE THAT VIP SHOP MANAGEMENT INC 
						SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, 
						OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT 
						THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY 
						WITH YOU.
					
						The Service is controlled and offered by VIP SHOP MANAGEMENT 
						INC from its facilities in the United States of America. 
						VIP SHOP MANAGEMENT INC makes no representations that the 
						VIP SHOP MANAGEMENT INC Service is appropriate or available 
						for use in other locations. Those who access or use the 
						VIP SHOP MANAGEMENT INC Service from other jurisdictions 
						do so at their own volition and are responsible for compliance 
						with local law.
					
						7. ABILITY TO Accept Terms of Service:
					
						You affirm that you are either more than 17 years of age, 
						or an emancipated minor, or possess legal parental or guardian 
						consent, and are fully able and competent to enter into 
						the terms, conditions, obligations, affirmations, representations, 
						and warranties set forth in these Terms of Service, and 
						to abide by and comply with these Terms of Service. In any 
						case, you affirm that you are at least 18 years old as the 
						VIP SHOP MANAGEMENT INC Service is not intended for children 
						under 18. If you are under 18 years of age, you are not 
						permitted to use the VIP SHOP MANAGEMENT INC Service. You 
						further represent and warrant that you are not located in 
						a country that is subject to a U.S. Government embargo, 
						or that has been designated by the U.S. Government as a' 
						terrorist-supporting' country, and that you are not listed 
						on any U.S. Government list of prohibited or restricted 
						parties. VIP SHOP MANAGEMENT INC is the developer of the 
						Service.
					
						8. ASSIGNMENT:
					
						These Terms of Service, and any rights and licenses granted 
						hereunder, may not be transferred or assigned by you, but 
						may be assigned by VIP SHOP MANAGEMENT INC without restriction.
					
						9. Software Subscription Service | Professional Services:
					
						Monthly Subscriptions: The Subscription Period shall commence 
						upon the successful processing of your payment and renew 
						on the same day of each successive month thereafter, unless 
						and until you provide VIP Shop Management with notice of 
						your intent to cancel, or as otherwise may be terminated 
						by VIP Shop Management in accordance with the terms set 
						forth herein. No refunds will be given for partial months.
					
						10. Termination:
					
						You may cancel and terminate your subscription by stopping 
						payment or contacting us at info@vip-shop-management.com. 
						Please be aware that upon termination, access to portions 
						of our Platform may be immediately disabled. Upon termination 
						you will not be entitled to any refunds or proration of 
						any subscription fees paid. 
We may terminate your subscription if we determine that:
1 - You have violated any applicable laws while using our Platform.
2 - If you have violated this Agreement or any other of our agreements pertaining to your use of our Platform.
3 - If we believe that any of your actions may harm vip-shop-management.com | VIP APP, at our sole decision or discretion.
In the event of termination, we will strive to provide you with a timely explanation; however, we are not required to do so.
					We may terminate your subscription if we determine that:
1 - You have violated any applicable laws while using our Platform.
2 - If you have violated this Agreement or any other of our agreements pertaining to your use of our Platform.
3 - If we believe that any of your actions may harm vip-shop-management.com | VIP APP, at our sole decision or discretion.
In the event of termination, we will strive to provide you with a timely explanation; however, we are not required to do so.
11. Refunds:
						At VIP Shop Management we want you to be satisfied with 
						our Platform and any services offered. If you are unsatisfied 
						with our Platform during the first month of your paid subscription 
						we will offer you a full refund. You must contact us before 
						your first month’s subscription period elapses to be eligible 
						for a refund. After your first month of usage, you will 
						no longer be eligible for any refunds. For any questions 
						regarding our refund policy and to apply for a refund within 
						the first month, please contact us at info@vip-shop-management.com. 
						Please be aware that we have the final and sole discretion 
						in issuing any refunds to you.
					12. Return Policy:
						NO RETURNS.
					
						13. Warranty Disclaimer:
					
						YOU AGREE THAT YOUR USE OF THE VIP SHOP MANAGEMENT INC APPS/SITE 
						SHALL BE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED 
						BY LAW, VIP SHOP MANAGEMENT INC, ITS OFFICERS, DIRECTORS, 
						EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR 
						IMPLIED, IN CONNECTION WITH THE SERVICE, APPS AND YOUR USE 
						THEREOF. VIP SHOP MANAGEMENT INC MAKES NO WARRANTIES OR 
						REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS 
						SERVICE'S CONTENT AND ASSUMES NO LIABILITY OR RESPONSIBILITY 
						FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT 
						(II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, 
						RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) 
						ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR 
						ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION 
						STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION 
						TO OR FROM OUR SERVICE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, 
						OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE 
						THROUGH THE ACTIONS OF ANY THIRD PARTY, AND/OR (V) ANY ERRORS 
						OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF 
						ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT 
						POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE 
						VIA THE VIP SHOP MANAGEMENT INC SERVICE. VIP SHOP MANAGEMENT 
						INC DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY 
						FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD 
						PARTY THROUGH THE VIP SHOP MANAGEMENT INC SERVICE OR ANY 
						HYPERLINKED WEBSITE OR FEATURED IN ANY USER STATUS SUBMISSION 
						OR OTHER ADVERTISING, YOU SHOULD USE YOUR BEST JUDGMENT 
						AND EXERCISE CAUTION WHERE APPROPRIATE. 
					
						ALL APPS THAT ARE OWNED BY VIP SHOP MANAGEMENT INC ARE LICENSED 
						'AS _ IS.'YOU BEAR THE RISK OF USING IT. VIP SHOP MANAGEMENT 
						INC GIVES NO EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS. 
						VIP SHOP MANAGEMENT INC RESERVE THE RIGHT TO ADD, REMOVE 
						UPDATE ANY FEATURE OF ALL APPS.
					14. VIP Shop Management Pro:
						VIP SHOP MANAGEMENT PRO (APP) is only AVAILABLE for subscribers: 
						Cloud $109 a Month. Local Database: $65 a month. If you are 
						using VIP Shop Management 7th Generation / (1 thru 6 Generation),we 
						strongly recommend moving to VIP Shop Management PRO. Technical 
						Support for VIP Shop Management PRO: All VIP SHOP MANAGEMENT 
						PRO customers have full Technical Support as long as they 
						have a valid subscription. Include the following services:
						
1 - Priority support: Subscribers have access to dedicated support resources and receive priority service over non-subscribers.
2 - Remote support: Subscribers can receive remote support through the use of remote access software, which allows for quick and efficient troubleshooting and problem resolution.
3 - Software updates: Subscribers receive regular software updates and upgrades to ensure they have the latest version of the software and to fix any bugs or security vulnerabilities.
4 - Email support: Subscribers can receive support through email, which allows for fast and convenient communication with technical support representatives.
5 - Phone support: Subscribers can receive support through phone, which allows for direct communication with technical support representatives.

15. VIP Shop Management (1 to 7 Generations):
						ALL Users of VIP Shop Management Generations ( 1 thru 6 
						) must be upgraded to the lastest version of VIP Shop Management 
						7th Generation. To stay up to update, click on help, check 
						for updates. It is the user's responsibility to stay up 
						to date. 
						
However, We strongly recommend moving to VIP Shop Management PRO by subscribing.If you need help upgrading to VIP PRO you can call us on 248-820-5333 during our business hours(MON - FRI) 9AM to 5PM Eastern time.
						
						
Parts Catalog / Text Messaging Subscriptions:
- Once upgraded to VIP Pro Local Database. All active subscriptions will be canceled. You will have one subscription with one payment $65 a month that includes Parts Catalog and Text Messaging - If you already have subscription(s) and decided not to upgrade. Your subscription will be cancelled automatically on June 1st 2023 OR upon request by phone: 248-820-5333 or email:info@vip-shop-management.com - VIP Shop Management 7th Generation will no longer be supported by: 12/12/2023. There will be very minimal updates.
						
What happens to the VIP 7th Generation after 12/12/2023?
VIP Shop Management 7th generation can run offline. So it will not be locked. You still can use VIP Shop Management Generations (1 thru 7). However VIP Shop Management 7th Generation depends on Windows 10/11. Using VIP Shop Management 7th Generation (without updates) after 12/12/2023 is something that we can not recommend, as we can not control updates from Windows 10/11 for the app to continue to be compatible. 4 - Configuration: The process of setting up and adjusting the various software components to optimize performance, additional fees of $100 for installation may apply.
5 - Technical Support Privacy Policy will be revised periodically and this will be reflected by the 'effective Date' below.
						
						
Paid Services: Effective from June 1, 2023, VIP Shop Management (1 - 7) Generation will discontinue all paid services, including Parts Catalog, Text Messaging, and Carfax Services.
						
Carfax services include:
1. QuickVin: The ability to decode license plate and VIN numbers will be discontinued starting from July 1st, 2023.
2. Carfax Service History: Reporting vehicle history to Carfax and viewing a vehicle's history will no longer be available after 12/12/2023.
3. Carfax Shop Loyalty Program: The Carfax Shop Loyalty Program will come to an end on 12/12/2023.
To continue enjoying the aforementioned paid services, it is necessary to upgrade to VIP Shop Management Pro. Please feel free to contact us at info@vip-shop-management.com for assistance in upgrading to the Pro version.
NOTE: ONCE A USER HAS UPGRADED FROM VIP SHOP MANAGEMENT 7TH GENERATION TO VIP SHOP MANAGEMENT PRO, THIS ACTION IS IRREVERSIBLE. THE DATA WILL NOT BE COMPATIBLE FOR REVERSAL, AND REVERSION TO THE PREVIOUS VERSION WILL NOT BE POSSIBLE UNDER ANY CIRCUMSTANCES. PLEASE CONSIDER THIS DECISION CAREFULLY, AS IT CARRIES PERMANENT CONSEQUENCES.

• Updates regarding service status or completion times.
• Links to view and approve service estimates.
• Requests for estimate approvals or feedback.
• Payment reminders and secure payment links.
• Short, service-related communications such as ''Please call the shop'' or ''Your parts have arrived.''
These messages are intended solely for service-related purposes and are not used for marketing or promotional content unless specifically agreed to by the End User.
Role of VIP Shop Management Inc.
VIP Shop Management Inc. is the technology provider enabling message delivery on behalf of our Clients. VIP Shop Management does not initiate messages on its own behalf and does not control the content sent by our Clients.
Opt-In
End Users must provide consent directly to the sending auto repair shop before receiving SMS messages. Consent may be obtained through in-store kiosks, signed estimates, verbal agreement, or other documented methods that clearly include:
• The name of the sending auto repair shop.
• The types of messages that will be sent.
• Message frequency disclosure (''Message frequency varies'').
• ''Message and data rates may apply'' disclosure.
• Instructions for help (''Reply HELP for help'').
• Instructions for opt-out (''Reply STOP to cancel'').
• Link to the shop's Privacy Policy and/or Terms & Conditions.

End Users may opt out at any time by replying STOP (or an equivalent keyword) to any message they receive from the shop. Once the shop processes the opt-out, the End User will receive a one-time confirmation and will no longer receive messages.
